These Terms govern access to and use of the Matfact Services (websites, admin console, member web, and mobile apps). By creating an account or using the Services, you agree to these Terms.
1. The Services
Matfact provides software for martial arts academies to manage memberships, attendance, progression, scheduling, and related billing features. Features may change as we improve the product.
2. Accounts and eligibility
You must provide accurate account information and keep credentials confidential. You are responsible for activity under your account. Platform administrators may suspend accounts that abuse the Services or violate these Terms.
3. Academies, roles, and data responsibility
- An academy (gym) that subscribes to Matfact is responsible for how it uses the product with its students and staff.
- For personal data the gym manages about members and staff in the tenant, the gym is the controller and Matfact is the processor, as set out in the Data Processing Addendum, which forms part of these Terms for paying gym customers.
- Matfact is controller for platform accounts, SaaS billing, and related processing described in the Privacy Policy.
Gyms must have a lawful basis for processing member data (including child-type memberships) and must not upload unlawful or excessive personal data.
4. Subscriptions and billing
SaaS fees for Matfact are billed as described in the product (including Stripe Checkout / Customer Portal where enabled). Member dues collected via Stripe Connect are charged by the gym as merchant of record; Matfact may charge an application fee as configured. Taxes may apply.
5. Acceptable use
You may not: misuse the Services; attempt unauthorized access; interfere with other tenants; reverse engineer except where mandatory law allows; use the Services to violate law; or upload malware or infringing content.
6. Intellectual property
Matfact and its licensors own the Services and branding. You retain rights to content you upload. You grant Matfact a license to host and process that content solely to provide the Services.
7. Availability and support
We aim for reasonable availability but do not guarantee uninterrupted service. Support channels are described on the website (including the contact form).
8. Disclaimers and liability
THE SERVICES ARE PROVIDED “AS IS” to the fullest extent permitted by law. Nothing in these Terms excludes liability that cannot be limited under applicable law (including mandatory consumer protections where they apply). Subject to that, Matfact’s aggregate liability arising from the Services in any 12-month period is limited to the fees paid to Matfact for the gym subscription in that period (or EUR 100 if no fees were paid).
9. Termination
You may stop using the Services at any time. We may suspend or terminate access for breach, non-payment, or risk to the platform. After termination, gym data handling follows the DPA and retention practices (export/anonymization on valid instructions).
10. Privacy
Personal data is processed as described in the Privacy Policy and, where Matfact is processor, the DPA.
11. Changes
We may update these Terms. Continued use after the effective date of changes constitutes acceptance where permitted by law. Material changes for gym customers may be notified by email or in-product notice.
12. Governing law
These Terms are governed by the laws of Spain, without prejudice to mandatory protections that apply to you. Courts of Spain have jurisdiction, subject to mandatory consumer venue rules.
